Terms of Service

These terms should be read alongside our Privacy Policy. We recommend having your solicitor review these terms prior to engagement.

1. Acceptance of Terms

By engaging Protected by ALFIE Inc. (“ALFIE”, “we”, “us”) for any service, by signing an onboarding agreement, or by making payment of an onboarding fee, you (“the Client”) agree to be bound by these Terms of Service in full.

These terms govern the relationship between ALFIE and all clients, including those introduced through partner or reseller arrangements. If you are a Partner introducing clients to ALFIE, you are responsible for ensuring those clients have accepted these terms prior to onboarding.

2. Description of Service

ALFIE is a managed technical infrastructure service, not a Software-as-a-Service (SaaS) platform. We build and deploy a sovereign entity data layer directly to the Client's own server. The deployment consists of four static machine-readable manifest files and a cryptographically secured routing endpoint, designed to ensure the Client's business is accurately represented, retrievable, and citable by AI retrieval systems.

ALFIE is not a marketing service, an SEO agency, an advertising platform, or a web design service. We do not manage your website. We do not access, alter, or modify your website or its content management system at any time. Our sole function is to architect, deploy, and monitor the external machine-readable data layer at your server root.

Because ALFIE deploys to the Client's own infrastructure, the platform is not hosted, maintained, or controlled by ALFIE after deployment. This is a fundamental architectural distinction from SaaS products and defines the nature of both the licence and the liability provisions in these terms.

3. Licence Grant

Upon payment of the applicable onboarding fee, ALFIE grants the Client a non-exclusive, non-transferable, revocable licence to use the deployed manifest files and routing endpoint on the Client's own domain for the duration of the active service agreement.

Licensed, Not Sold

The ALFIE platform, methodology, manifest architecture, routing endpoint, and dashboard interfaces are licensed to the Client, not sold. Ownership of all platform intellectual property remains with Protected by ALFIE Inc. at all times.

The Client licence is limited to internal business use on the Client's own registered domain. The following are expressly prohibited:

Reverse engineering, decompiling, or attempting to extract the ALFIE methodology, signing algorithm, or routing logic from the deployed files

Sublicensing, reselling, or transferring the deployed files or routing endpoint to any third party without written agreement from ALFIE

Deploying ALFIE manifest files on domains other than the Client's own registered domain without a separate written agreement

Attempting to replicate or reconstruct the ALFIE entity graph signing process using the deployed files as a template

4. Intellectual Property of Outputs

The manifest files deployed to the Client's server, including the entity data, verified facts, and structured descriptions contained within them, are outputs generated from the Client's own business information. The Client owns these outputs and the business data they represent.

ALFIE retains all intellectual property rights in the underlying platform, signing methodology, routing architecture, and the structural format of the manifest files. Ownership of outputs does not confer any rights to the methodology used to produce them.

Upon termination of the service agreement, the Client may retain the deployed manifest files but loses the right to the routing endpoint and ongoing monitoring. The routing endpoint is an ALFIE-operated asset and will be decommissioned upon termination.

5. Data Usage and AI Training Rights

ALFIE does not use Client business data, entity facts, prompts, inputs, or outputs to train, fine-tune, or improve any AI model, internal or external. This prohibition is absolute and applies to all Client data processed during the forensic audit, manifest construction, and monitoring phases.

Client data is processed in real time for the sole purpose of building and maintaining the Client's entity graph. It is not retained on ALFIE servers after deployment. It is not shared with third-party AI providers for training purposes. It is not aggregated with other client data to build general models.

ALFIE uses machine intelligence internally to assist in the forensic audit and entity graph construction. In all cases, final architectural decisions are subject to human oversight by Donna Rougeau or a designated ALFIE team member before deployment to the Client's server. 6. Onboarding Fee and Payment

Engagement begins with payment of an onboarding fee at the Tier level required by the Client's node count. This fee covers the forensic audit, entity graph architecture, cryptographic signing, manifest deployment, and initial monitoring setup. Work commences upon receipt of payment.

All fees are quoted and invoiced in Canadian Dollars (CAD) unless otherwise agreed in writing. Monthly node monitoring fees are invoiced from Green Light activation as described in Section 7. All invoices are payable within 14 days. Late payment may result in suspension of the monitoring service.

Onboarding fees are non-transferable between Tiers. A change in scope requiring a higher Tier is subject to a revised onboarding agreement.

7. The Green Light Model and Ongoing Billing

Following deployment, ALFIE monitors Recoverable Tracked Value (RTV), verified, AI-attributed revenue flowing to the Client's direct booking or conversion path through the ALFIE routing endpoint.

Green Light Activation

Green Light activates when RTV ≥ platform fee × 1.10. Until Green Light activates, the Client pays only the onboarding fee for their required Tier. No ongoing node monitoring fee is charged prior to Green Light activation.

Billing Commencement

Ongoing node monitoring invoicing begins when Green Light activates. The first invoice is sent for the month following Green Light activation, then monthly from there. The Client is only billed for a service that has demonstrably recovered more than its cost.

RTV is calculated from the revenue events recorded through the ALFIE routing endpoint. ALFIE's calculation of RTV is based on logged attribution data and is the authoritative record for Green Light determination. Disputes regarding RTV calculations must be raised in writing within 30 days of the disputed invoice.

8. Refund Policy

Before Green Light

A refund of the onboarding fee is available upon written request at any time before Green Light activates. Refunds are processed within 14 business days of the approved request.

After Green Light

Once Green Light activates, no further refunds are available. Green Light confirms that ALFIE has delivered verified recoverable value exceeding the platform fee. Monthly node monitoring fees paid after Green Light activation are non-refundable.

Refund requests must be submitted in writing to founder@protectedbyalfie.com. Refunds are not available for service periods already delivered.

9. Acceptable Use Policy

ALFIE is designed for legitimate direct-booking businesses seeking to improve their AI retrievability and entity accuracy. The following uses are strictly prohibited:

Deploying ALFIE to assert false, misleading, or fraudulent entity facts, the service is designed to verify truth, not manufacture it

Using ALFIE outputs for high-risk automated decision-making (medical diagnostics, financial credit scoring, legal determinations, critical infrastructure) without appropriate human oversight

Using the ALFIE routing endpoint to redirect to third-party destinations not under the Client's control, the endpoint is strictly a pass-through to Client-owned URLs only

Any use that violates applicable Canadian, provincial, or international law, including PIPEDA, GDPR, CASL, or CCPA

Engaging ALFIE to impersonate another entity, claim credentials or certifications the Client does not hold, or misrepresent the Client's location, services, or business status

Violation of this Acceptable Use Policy is grounds for immediate termination of the service agreement without refund, regardless of Green Light status.

10. Client Obligations

Provide accurate, complete, and current business information during the forensic audit. Inaccurate data will produce an inaccurate manifest. ALFIE cannot be held responsible for errors arising from incorrect Client-supplied data.

Provide server access for deployment (Option A) or arrange for the Client's IT team or web agency to place the deployment package (Option B). ALFIE cannot deploy without one of these paths being available.

Not alter, move, or delete the deployed manifest files without notifying ALFIE in writing. Unauthorised modification may affect manifest integrity and Green Light calculation.

Notify ALFIE promptly of any material business changes, new services, changed contact details, updated booking systems, domain changes, so the manifest can be updated to reflect current facts.

11. Warranties and Disclaimers

Service Provided “As-Is”

ALFIE is provided “as-is” and “as-available.” To the maximum extent permitted by applicable law, Protected by ALFIE Inc. makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

ALFIE warrants that the manifest files will be deployed as described in the Technical Overview and that the routing endpoint will be maintained in accordance with the active service agreement. ALFIE does not warrant any specific level of AI citation frequency, search ranking, or revenue outcome.

AI retrieval systems operated by third parties (including but not limited to OpenAI, Google, Perplexity, Meta, and Microsoft) are outside ALFIE's control. ALFIE makes no warranty that any specific AI system will retrieve, cite, or recommend the Client following deployment. We warrant only that the manifest architecture is correctly structured to be retrievable by AI systems that follow open standards.

AI Output Disclaimer

ALFIE uses machine intelligence as part of the forensic audit and entity graph construction process. While all outputs are subject to human oversight before deployment, ALFIE expressly disclaims liability for any errors, omissions, hallucinations, or inaccuracies in AI-assisted analysis where such errors are not detectable through reasonable human review. The Client is responsible for reviewing the deployed manifest content before confirming accuracy.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Protected by ALFIE Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the ALFIE service, including but not limited to loss of revenue, loss of data, loss of bookings, or reputational damage.

ALFIE's total cumulative liability to the Client for any claim arising under these terms shall not exceed the total fees paid by the Client to ALFIE in the 12 months preceding the claim.

13. Termination

Either party may terminate the ongoing service agreement with 30 days written notice. Termination does not affect any payment obligations already incurred. The Client may retain the deployed manifest files upon termination but loses access to the routing endpoint and ongoing monitoring, which will be decommissioned within 30 days of termination.

ALFIE may terminate the agreement immediately and without notice in the event of a material breach of these terms, including but not limited to violation of the Acceptable Use Policy, non-payment, or misuse of the deployed files. Termination for cause does not entitle the Client to a refund of any fees paid.

14. Governing Law and Disputes

These terms are governed by the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein. Any dispute arising under or in connection with these terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Charlottetown, PEI, under the rules of the applicable provincial arbitration legislation.

ALFIE operates in compliance with PIPEDA, GDPR where applicable, and CCPA where applicable. International clients acknowledge that ALFIE is headquartered in Canada and that Canadian law governs the service relationship.
